a full range of financial advisory services in connection with mergers,
acquisitions, restructurings, joint ventures, divestitures, exclusive sales,
spin-offs, and leveraged buyouts.

us the perspective of buyers, sellers, and stakeholders with respect to
accounting, tax, financial, and organizational issues in M&A transactions.

As
part of our M&A services we:
- Perform
general financial due diligence.
- Audit the
historical financial statements of acquired companies.
- Work closely
with the client and their legal teams with respect to 8K and other securities
filings, if necessary.
- Advise on
proper accounting methods and adjustments.
- Review and
advise on acquisition agreements from the perspective of accounting, business,
tax, retirement plan, and organizational issues.
- Create pro
forma financial statements for combined entities.
- Due
Diligence on Systems and Controls
- Review tenant
leases, including both financial and non-financial data, providing a summary
of leases with important terms highlighted. If necessary, we perform audits
of expense to recover items from the landlord.
- Conduct
due diligence reviews of qualified and non-qualified retirement plans,
including review of retirement plan financial statements and compliance
tax returns (e.g. 5500)
- Perform
varying levels of organizational consulting, including review of duplicity
of personnel as a result of an acquisition, as well as conducting training
to integrate multiple organizations.
- Perform
cost segregation studies for tax purposes, even in a stock purchase transaction,
and, if appropriate, accelerate depreciation, making the property purchased
more valuable.
